Terms of Service

By accessing or using YouNutri Pro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and YouNutri ("we", "us", or "our").

If you are using the Service on behalf of a practice, clinic, or organization, you represent that you have authority to bind that entity to these Terms.

YouNutri Pro is a practice management and nutrition platform for registered dietitians and nutritionists. The Service includes AI-assisted meal plan generation, client management, scheduling, telehealth, and billing tools.

Not a medical device. YouNutri is a professional productivity tool. It does not constitute medical advice, diagnosis, or treatment. You are solely responsible for all clinical decisions made using the Service.

• You must be at least 18 years old and a qualified nutrition or dietetic professional to use the Service
• You are responsible for keeping your login credentials confidential
• You must notify us immediately at security@younutri.com if you suspect unauthorized access to your account
• One account per person; you may not share access credentials

Access to YouNutri Pro requires a paid subscription. Fees are billed in advance on a monthly or annual basis. All fees are in USD unless otherwise specified and are non-refundable except as required by applicable law or as described below.

• Free trial: Where offered, you may cancel any time during the trial period without charge
• Cancellation: You may cancel your subscription at any time; access continues until the end of the current billing period
• Price changes: We will give you at least 30 days' notice before changing your subscription price
• Taxes: You are responsible for any applicable taxes

You agree not to:

• Use the Service for any unlawful purpose or in violation of professional licensing requirements
• Upload content that is false, misleading, defamatory, or violates third-party rights
• Attempt to gain unauthorized access to the Service or other users' accounts
• Reverse-engineer, decompile, or create derivative works from the Service
• Resell, sublicense, or otherwise commercialize access to the Service
• Use automated means to scrape or extract data from the Service
• Transmit malware, spam, or any code designed to disrupt the Service

You, as the covered entity under HIPAA, are responsible for obtaining all necessary consents from your clients before entering their Protected Health Information (PHI) into the Service. YouNutri acts as your Business Associate and will sign a Business Associate Agreement (BAA) with your practice.

You represent and warrant that your use of the Service complies with all applicable laws, including HIPAA, GDPR, and Brazil's LGPD where applicable.

YouNutri and its licensors own all intellectual property rights in the Service, including software, design, trademarks, and content we create. Your use of the Service does not grant you any ownership rights.

You retain ownership of all content you upload to the Service. You grant YouNutri a limited license to host, process, and display that content solely to provide the Service to you.

The Service includes AI-assisted meal plan generation. AI outputs are suggestions only — you must review, verify, and take professional responsibility for any content delivered to your clients. YouNutri is not liable for errors, omissions, or clinical outcomes arising from AI-generated content.

We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service with reasonable notice. For material changes that affect core functionality, we will provide at least 30 days' notice.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUNUTRI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold harmless YouNutri and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Either party may terminate at any time. We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms or pose a risk to other users or the Service. Upon termination, your right to access the Service ceases; you may export your data for 30 days after termination.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Delaware. If you are located in Brazil, mandatory consumer protections under Brazilian law apply.

We may update these Terms from time to time. We will notify you by email or in-app notice at least 30 days before material changes take effect. Your continued use after the effective date constitutes acceptance of the revised Terms.
